Articles of merger, conversion or exchange must be signed by each foreign and domestic constituent entity as follows:
Terms Used In Nevada Revised Statutes 92A.230
- Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
- Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
- Trustee: A person or institution holding and administering property in trust.
1. By an officer of a corporation, whether or not for profit;
2. By one of the general partners of a limited partnership;
3. By a manager of a limited-liability company with managers or by one member of a limited-liability company without managers;
4. By a trustee of a business trust; and
5. By one general partner of a general partnership.
