I. A benefit corporation may have an officer designated the benefit officer.
II. A benefit officer shall have:
(a) The powers and duties relating to the purpose of the corporation to create general public benefit or specific public benefit provided:
(1) By the bylaws; or
(2) Absent controlling provisions in the bylaws, by resolutions or orders of the board of directors.
(b) The duty to prepare the benefit report required by N.H. Rev. Stat. § 293-C:12.
II. A benefit officer shall have:

- Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
(a) The powers and duties relating to the purpose of the corporation to create general public benefit or specific public benefit provided:
(1) By the bylaws; or
(2) Absent controlling provisions in the bylaws, by resolutions or orders of the board of directors.
(b) The duty to prepare the benefit report required by N.H. Rev. Stat. § 293-C:12.
