I. If the secretary of state finds that an application for registration conforms to law and all requisite fees have been paid, he shall:
(a) Endorse on the application the word “filed”, and the month, day and year of the filing thereof;
(b) File in his office a duplicate original of the application; and
(c) Issue a certificate of registration to transact business in this state.
II. The certificate of registration, together with a duplicate original of the application, shall be returned to the person who filed the application or his representative.
III. The secretary of state shall not accept an application for registration unless accompanied by the certification required by N.H. Rev. Stat. § 421-B:13, I-a(b).

- month: shall mean a calendar month, and the word "year" a calendar year, unless otherwise expressed; and the word "year" shall be equivalent to the expression "year of our Lord. See New Hampshire Revised Statutes 21:8
- Person: means a natural person, partnership, limited partnership (domestic or foreign), trust, estate, association, or corporation. See New Hampshire Revised Statutes 304-B:1
- State: means a state, territory, or possession of the United States, the District of Columbia, or the Commonwealth of Puerto Rico. See New Hampshire Revised Statutes 304-B:1
(b) File in his office a duplicate original of the application; and
(c) Issue a certificate of registration to transact business in this state.
