I. For purposes of this subdivision, the term “vote” shall mean any expression of approval, consent, or dissent, whether by voice, by show of hand, in writing, or otherwise.
II. Unless an operating agreement provides otherwise, amajority vote of the membersmeans an affirmative vote by members holding a majority of member votes. The number of member votes held by each member shall be determined under N.H. Rev. Stat. § 304-C:65, II.
III. Amajority vote of the other membersmeans an affirmative vote of members holding a majority of member votes exclusive of those held by a specified member.
IV. With respect to any limited liability company matter, adisinterested membermeans a member with no material financial or other interest in the matter except in the member’s capacity as a member.
