I. No document required to be filed under this act shall be effective until the applicable fee required by this section is paid.
II. The following fees shall be paid to and collected by the secretary of state for deposit in the general fund of the state of New Hampshire:

Terms Used In New Hampshire Revised Statutes 304-C:191

  • Affidavit: A written statement of facts confirmed by the oath of the party making it, before a notary or officer having authority to administer oaths.
  • Amendment: A proposal to alter the text of a pending bill or other measure by striking out some of it, by inserting new language, or both. Before an amendment becomes part of the measure, thelegislature must agree to it.
  • following: when used by way of reference to any section of these laws, shall mean the section next preceding or following that in which such reference is made, unless some other is expressly designated. See New Hampshire Revised Statutes 21:13
  • state: when applied to different parts of the United States, may extend to and include the District of Columbia and the several territories, so called; and the words "United States" shall include said district and territories. See New Hampshire Revised Statutes 21:4

(a) Upon the receipt for filing of an application for reservation of name or a notice of transfer of reservation under N.H. Rev. Stat. § 304-C:27, a fee in the amount of $15.
(b) Upon the receipt for filing of a statement under N.H. Rev. Stat. § 304-C:36, II, a fee in the amount of $15; upon the receipt for filing of a statement under N.H. Rev. Stat. § 304-C:36, V, a fee in the amount of $15.
(c) Upon the receipt for filing of a certificate of formation under N.H. Rev. Stat. § 304-C:31, a fee in the amount of $100.
(d) Upon the receipt for filing of a certificate of amendment under N.H. Rev. Stat. § 304-C:34, a certificate of merger under N.H. Rev. Stat. § 304-C:158, a certificate of statutory conversion under N.H. Rev. Stat. § 304-C:149, or a restated certificate of formation under N.H. Rev. Stat. § 304-C:35, a fee in the amount of $35.
(e) Upon the receipt for filing of a certificate of cancellation of a domestic limited liability company under N.H. Rev. Stat. § 304-C:142, a fee in the amount of $35.
(f) Upon receipt for filing of an annual report under N.H. Rev. Stat. § 304-C:194, a fee in the amount of $100; for failure or refusal to file an annual report or pay the filing fee on or before April 1 of any year, an additional late filing fee in the amount of $50; upon receipt for filing of an application for reinstatement under N.H. Rev. Stat. § 304-C:138, I, a fee of $135; and upon receipt for filing of an application for late reinstatement under N.H. Rev. Stat. § 304-C:145, I a fee of $500.

(g) For certifying copies of any paper on file as provided for by this act, a fee in the amount of $1 per page and $5 for the certificate.

(h) Upon the receipt for filing of an application for registration as a foreign limited liability company under N.H. Rev. Stat. § 304-C:175, a fee in the amount of $100; upon the receipt for filing of a certificate of cancellation under N.H. Rev. Stat. § 304-C:179, a fee in the amount of $35; and upon receipt for filing of an amendment to an application under N.H. Rev. Stat. § 304-C:178, a fee in the amount of $35.
(i) Upon the receipt for filing of a statement under N.H. Rev. Stat. § 304-C:177, V, a fee in the amount of $15, and upon the receipt for filing of a statement under N.H. Rev. Stat. § 304-C:177, VI, a fee in the amount of $15.
(j) For issuing any certificate of the secretary of state, including a certificate of good standing, other than a certification of a copy under subparagraph II(g), a fee in the amount of $5, except that for issuing any certificate of the secretary of state that recites all of a limited liability company’s filings with the secretary of state, a fee of $10 shall be paid for each such certificate.
(k) For receiving, filing or indexing any certificate, affidavit, or agreement or any other paper provided for by this act, for which no different fee is specifically prescribed, a fee in the amount of $15.
III. The secretary of state shall establish, and may from time to time amend, a schedule of specific fees payable under this section.
