Subdivision 1.Election.

(a) The officers of the board of the corporation shall consist of the chair, vice-chair, secretary, treasurer, and other officers as the board shall from time to time deem necessary. The board shall elect officers by a majority vote of the board at the annual meeting, or in the case of the initial board, at the first meeting following appointment by the county board.

Terms Used In Minnesota Statutes 383B.904

  • Chair: includes chairman, chairwoman, and chairperson. See Minnesota Statutes 645.44
  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
  • Majority: means with respect to an individual the period of time after the individual reaches the age of 18. See Minnesota Statutes 645.451
  • Person: may extend and be applied to bodies politic and corporate, and to partnerships and other unincorporated associations. See Minnesota Statutes 645.44

(b) Any of the offices or functions, with the exception of the chair and vice-chair, may be held or exercised by the same person.

Subd. 2.Removal.

An officer may be removed without cause by a two-thirds majority vote of the board of the corporation.
