Terms Used In Kansas Statutes 17-6517

  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.

(a) The district court, in any proceeding instituted under Kan. Stat. Ann. § 17-6501, 17-6505 or 17-6515, and amendments thereto, may determine the right and power of persons claiming to own stock to vote at any meeting of the stockholders.

(b) The court may: (1) Appoint a master to hold any election provided for in Kan. Stat. Ann. § 17-6501, 17-6505 or 17-6515, and amendments thereto, under such orders and powers as it deems proper; (2) punish any officer or director for contempt in case of disobedience of any order made by the court; and (3) in case of disobedience by a corporation of any order made by the court, may enter a decree against such corporation for a penalty of not more than $5,000.
