The officers of the Authority shall be elected by majority vote of the membership and shall serve for terms of 2 years. There shall be no limit on the number of consecutive terms that any officer may serve. The officers, and their respective duties are:

    (1) A Chairman, who shall preside at meetings of the Authority Board; sign as authorized by the Authority Board any contracts or other instruments which are deemed to be in the best interest of the Authority; and perform such other duties incident to the office as may be prescribed by the Authority Board.
    (2) A Vice-Chairman, who shall act in the Chairman’s absence. The Vice-Chairman shall perform such other functions as the Authority Board may from time to time assign.
    (3) A Treasurer, if required, who shall be entrusted with the receipt, care, and disbursement of Authority funds in accordance with fiscal policies and regulations that may be adopted by the Authority Board. Prior to the election of Treasurer, the West Florida Regional Planning Council will serve in this capacity as provided by agreement.
    (4) A Secretary, if required, who shall prepare minutes of each meeting and be responsible for distributing copies to members of the Authority Board and shall perform other administrative duties as may be assigned, from time to time, by the Authority Board. Prior to, or in lieu of, the appointment of the Secretary, the West Florida Regional Planning Council will serve in this capacity as provided by agreement.
