- Certificate of formation: means :
(A) the document required to be filed with the filing officer under Chapter 3 to form a filing entity; and
(B) if appropriate, a restated certificate of formation and all amendments of an original or restated certificate of formation. See Texas Business Organizations Code 1.002 - Director: means an individual who serves on the board of directors of a foreign or domestic corporation. See Texas Business Organizations Code 1.002
Except as otherwise provided by this subchapter, the term of office of a director extends from the date the director is elected and qualified or named in the corporation‘s certificate of formation until the next annual meeting of shareholders and until the director’s successor is elected and qualified.
