(a) Before transacting business in this state, a foreign limited liability partnership must file an application for registration in accordance with this section and Chapters 4 and 9.
(b) The application must be signed by:
(1) a majority-in-interest of the partners; or
(2) one or more partners authorized by a majority-in-interest of the partners.

Terms Used In Texas Business Organizations Code 152.905

  • Business: means a trade, occupation, profession, or other commercial activity. See Texas Business Organizations Code 1.002
  • Foreign: means , with respect to an entity, that the entity is formed under, and the entity's internal affairs are governed by, the laws of a jurisdiction other than this state. See Texas Business Organizations Code 1.002
  • Limited liability partnership: means a partnership governed as a limited liability partnership under Title 4. See Texas Business Organizations Code 1.002
  • Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
  • Partnership: means an entity governed as a partnership under Title 4. See Texas Business Organizations Code 1.002
  • Secretary: means the:
    (A) individual designated as secretary of an entity under the entity's governing documents; or
    (B) officer or committee of persons authorized to perform the functions of secretary of an entity without regard to the designated name of the officer or committee. See Texas Business Organizations Code 1.002
  • Signed: includes any symbol executed or adopted by a person with present intention to authenticate a writing. See Texas Government Code 311.005

(c) A partnership is registered as a foreign limited liability partnership on:
(1) the date on which a completed initial or renewal application for registration is filed with the secretary of state in accordance with Chapter 4; or
(2) a later date specified in the application.
(d) A registration is not affected by subsequent changes in the partners of the partnership.
(e) The registration of a foreign limited liability partnership is effective until the first anniversary of the date after the date of registration or a later effective date, unless the registration is:
(1) withdrawn or revoked at an earlier time; or
(2) renewed in accordance with § 152.908.
