Terms Used In Texas Business Organizations Code 153.113

  • Executor: A male person named in a will to carry out the decedent
  • Guardian: A person legally empowered and charged with the duty of taking care of and managing the property of another person who because of age, intellect, or health, is incapable of managing his (her) own affairs.
  • Individual: means a natural person. See Texas Business Organizations Code 1.002
  • Limited partner: means a person who has become, and has not ceased to be, a limited partner in a limited partnership in accordance with the governing documents of the limited partnership or this code. See Texas Business Organizations Code 1.002
  • Partner: means a limited partner or general partner. See Texas Business Organizations Code 1.002
  • Person: means an individual or a corporation, partnership, limited liability company, business trust, trust, association, or other organization, estate, government or governmental subdivision or agency, or other legal entity, or a protected series or registered series of a domestic limited liability company or foreign entity. See Texas Business Organizations Code 1.002
  • Property: includes tangible and intangible property and an interest in that property. See Texas Business Organizations Code 1.002

If a limited partner who is an individual dies or a court adjudges the limited partner to be incapacitated in managing the limited partner’s person or property, the limited partner’s executor, administrator, guardian, conservator, or other legal representative may exercise all of the limited partner’s rights and powers to settle the limited partner’s estate or administer the limited partner’s property, including the power of an assignee to become a limited partner under the partnership agreement.
