(a) A person commits an offense if the person:
(1) makes an offer of a security in this state that does not comply with the requirements governing offers specified in Subchapter E, Chapter 4003; or
(2) knowingly makes an offer of a security in this state that is prohibited by a cease publication order issued by the commissioner under § 4007.103.
(b) An offense under this section is a state jail felony.
