(a) A board of at least five directors shall manage the business of a telephone cooperative. Each director must be a member of the cooperative. The bylaws must prescribe the number of directors and their qualifications other than those prescribed by this chapter.
(b) The board may exercise any power of a telephone cooperative not conferred on the members by this chapter or by the cooperative’s articles of incorporation or bylaws.
