The secretary shall keep:

- Assets: (1) The property comprising the estate of a deceased person, or (2) the property in a trust account.
- Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
- Liabilities: The aggregate of all debts and other legal obligations of a particular person or legal entity.
1. A record of the meetings of stockholders and directors, of all contracts entered into by the board of directors, and of the assets and liabilities of the corporation.
2. A stock ledger showing the names and residences of all stockholders, the shares held by each and the actual cash paid therefor.
3. A stock transfer book.
4. Other books necessary to show fully the corporate transactions.
