Any person purporting to act as or on behalf of a corporation that knew or should have known that the corporation has not been formed under chapters 1 through 17 of this title is liable for all debts and liabilities incurred by the act.

- Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
- Liabilities: The aggregate of all debts and other legal obligations of a particular person or legal entity.
- Person: includes an individual and entity. See Arizona Laws 10-140
