“Constituent corporation,” when used with respect to a corporation:
(a) In the case of a merger, has the meaning set forth in § 161 of the Corporations Code.

- Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
(b) In the case of a consolidation, means a corporation that is consolidated with one or more other corporations.
