  • Quorum: The number of legislators that must be present to do business.

(b) Unless the bylaws require a meeting of shareholders to be held at a place, the court may fix the time of the meeting, determine whether the meeting will be held at a place or solely by remote communication, and, if the meeting is to be held at a place, the place of the meeting, determine the shares entitled to participate in the meeting, specify a record date or dates for determining shareholders entitled to notice of and to vote at the meeting, prescribe the form and content of the meeting notice, fix the quorum required for specific matters to be considered at the meeting, or direct that the votes represented at the meeting constitute a quorum for action on those matters, and enter other orders necessary to accomplish the purpose or purposes of the meeting. The court may order the meeting to be held solely by means of remote communication in compliance with section 33-703 subject to such guidelines and procedures as the court may order, including implementation of the measures specified in subsection (b) of said section.
