Connecticut General Statutes 34-283d – Rules of construction
(a) It is the policy of this section and sections 34-243 to 34-283c, inclusive, to give maximum effect to the principle of freedom of contract and to enforceability of limited liability company agreements.
Terms Used In Connecticut General Statutes 34-283d
- Amendment: A proposal to alter the text of a pending bill or other measure by striking out some of it, by inserting new language, or both. Before an amendment becomes part of the measure, thelegislature must agree to it.
- Common law: The legal system that originated in England and is now in use in the United States. It is based on judicial decisions rather than legislative action.
- Contract: A legal written agreement that becomes binding when signed.
(b) Unless displaced by particular provisions of this section and sections 34-243 to 34-283c, inclusive, the principles of law and equity supplement said sections.
(c) Rules that statutes in derogation of the common law are to be strictly construed shall have no application under this section and sections 34-243 to 34-283c, inclusive.
(d) Neither this section, sections 34-243 to 34-283c, inclusive, nor any amendments to said sections shall be construed to impair the obligations of any contract existing on, or affect any action or proceedings begun or right accrued before July 1, 2017, or the effective date of such amendment.
