Except as otherwise provided in this chapter, a director, officer, employee, or other personnel of the board are not liable on the district‘s debts or obligations and a director, officer, employee, or volunteer of the board is not personally liable in that capacity, for a claim based upon an act or omission of the person performed in the discharge of the person’s duties, except for any of the following:
1. A breach of the duty of loyalty to the district.
Terms Used In Iowa Code 357A.22
- Board: means the board of directors of a district, and "director" means a member of such board of directors. See Iowa Code 357A.1
- District: means a rural water district incorporated and organized pursuant to the provisions of this chapter. See Iowa Code 357A.1
- following: when used by way of reference to a chapter or other part of a statute mean the next preceding or next following chapter or other part. See Iowa Code 4.1
- Officer: means a natural person elected or appointed to a fixed term and exercising some portion of the power of a city. See Iowa Code 362.2
- Person: means an individual, firm, partnership, domestic or foreign corporation, company, association or joint stock association, trust, or other legal entity, and includes a trustee, receiver, assignee, or similar representative thereof, but does not include a governmental body. See Iowa Code 362.2
2. Acts or omissions not in good faith or which involve intentional misconduct or knowing violation of the law.
3. A transaction from which the person derives an improper personal benefit.
