Terms Used In Kansas Statutes 17-76,148

  • Operating agreement: means any agreement, whether referred to as an operating agreement, limited liability company agreement or otherwise, written, oral, or implied, of the member or members as to the affairs of a limited liability company and the conduct of its business. See Kansas Statutes 17-7663

Kan. Stat. Ann. § 17-76,148 through 17-76,155, and amendments thereto, apply to all statutory public benefit limited liability companies, as defined in Kan. Stat. Ann. § 17-76,149, and amendments thereto. If a limited liability company elects to become a statutory public benefit limited liability company under Kan. Stat. Ann. § 17-76,148 through 17-76,155, and amendments thereto, in the manner prescribed in Kan. Stat. Ann. § 17-76,148 through 17-76,155, and amendments thereto, it shall be subject in all respects to the provisions of the Kansas revised limited liability company act, except to the extent Kan. Stat. Ann. § 17-76,148 through 17-76,155, and amendments thereto, impose additional or different requirements, such requirements shall apply and notwithstanding Kan. Stat. Ann. § 17-76,134, and amendments thereto, or any other provision of the Kansas revised limited liability company act, such requirements imposed by Kan. Stat. Ann. § 17-76,148 through 17-76,155, and amendments thereto, may not be altered in the operating agreement.
