Terms Used In Kansas Statutes 56-1a,153

  • Certificate of limited partnership: means the certificate referred to in Kan. See Kansas Statutes 56-1a,101
  • Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
  • State: means a state, territory, or possession of the United States, the District of Columbia or the Commonwealth of Puerto Rico. See Kansas Statutes 56-1a,101

A certificate of limited partnership shall be canceled upon the dissolution and the commencement of winding up the affairs of the partnership, at any other time when there are no limited partners or as specified in this act. The certificate of limited partnership is canceled upon the filing of a certificate of cancellation or a judicial decree of cancellation in the office of the secretary of state or upon the future effective date specified in the certificate of cancellation or a judicial decree of cancellation or as specified in this act. A certificate of cancellation or judicial decree of cancellation shall be filed in the office of the secretary of state and set forth:

(a) The name of the limited partnership;

(b) the date of filing of its certificate of limited partnership;

(c) the reason for filing the certificate of cancellation;

(d) the future effective date of cancellation, which shall be a date certain, if it is not to be effective upon the filing of the certificate; and

(e) any other information the general partners determine proper.
