(1) To amend its articles of association, a limited cooperative association shall deliver to the Secretary of State for filing an amendment of the articles, or restated articles of association or articles of conversion or merger pursuant to Subchapter 16 of this chapter, which contain one (1) or more amendments of the articles of association, stating:
(a) The name of the association;

Terms Used In Kentucky Statutes 272A.4-070

  • Amendment: A proposal to alter the text of a pending bill or other measure by striking out some of it, by inserting new language, or both. Before an amendment becomes part of the measure, thelegislature must agree to it.
  • Articles of association: means the articles of association of a limited cooperative association required by KRS §. See Kentucky Statutes 272A.1-020
  • Cooperative: means a limited cooperative association or an entity organized under any cooperative law of any jurisdiction. See Kentucky Statutes 272A.1-020
  • Secretary: means the officer designated pursuant to KRS §. See Kentucky Statutes 272A.1-020
  • State: means a state of the United States, the District of Columbia, Puerto Rico, the United States Virgin Islands, or any territory or insular possession subject to the jurisdiction of the United States. See Kentucky Statutes 272A.1-020

(b) The date of filing of the association’s initial articles; and
(c) The changes the amendment makes to the articles as most recently amended or restated.
(2) If restated articles of association are adopted, the restated articles may be delivered to the Secretary of State for filing in the same manner as an amendment.
(3) Upon filing, an amendment of the articles of association or other record containing an amendment of the articles which has been properly adopted by the members is effective as provided in KRS § 14A.2-070.
