  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
  • person: may extend and be applied to bodies politic and corporate, as well as to individuals. See Michigan Laws 8.3l
     It shall be the duty of the proper officers of such association, corporation, or society to make, sign, and acknowledge duplicate copies of its charter or articles of association, as the same shall have been from time to time amended, to which shall be attached copies of the resolution adopted as provided in section 1 of this act, and of the vote thereon, certified to by the person acting as secretary of such association, society, or corporation, and verified by the secretary’s oath; a copy of which shall be filed with the corporation and securities bureau of the department of commerce.
