1. Any insurance company organized or incorporated under the laws of this state may restate its charter, articles of incorporation or association, or declaration of organizing from time to time as may be desired in the same manner as provided in sections 375.201 through 375.221 pertaining to amendments.

2. In lieu of the certificate of amendment as set forth in section 375.206, the director and secretary of state shall issue a certificate of restated articles.

Terms Used In Missouri Laws 375.226

  • Amendment: A proposal to alter the text of a pending bill or other measure by striking out some of it, by inserting new language, or both. Before an amendment becomes part of the measure, thelegislature must agree to it.
  • Director: the director of the department of commerce and insurance. See Missouri Laws 375.001
  • State: when applied to any of the United States, includes the District of Columbia and the territories, and the words "United States" includes such district and territories. See Missouri Laws 1.020

3. Upon the issuance of the certificate of restated articles by the secretary of state, the restated articles shall become effective and shall supersede the original articles and all amendments thereto.
