Any conversion of a limited partnership to a limited liability company filed with the Secretary of State‘s office and existing on or before July 19, 2012, shall continue to be valid.
Terms Used In Nebraska Statutes 67-2,100
- Company: shall include any corporation, partnership, limited liability company, joint-stock company, joint venture, or association. See Nebraska Statutes 49-801
- Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
