(a) A corporation‘s shareholders may amend or repeal the corporation’s bylaws.
(b) A corporation’s board of directors may amend or repeal the corporation’s bylaws, unless:

Terms Used In New Hampshire Revised Statutes 293-A:10.20

  • bylaw: when used in reference to legislative action taken by a city, town, county or village district shall have the same meaning as an ordinance and shall be subject to the same procedures for enactment. See New Hampshire Revised Statutes 21:45
  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.

(1) the articles of incorporation, N.H. Rev. Stat. § 293-A:10.21 or, if applicable, N.H. Rev. Stat. § 293-A:10.22 reserve that power exclusively to the shareholders in whole or part; or
(2) except as provided in N.H. Rev. Stat. § 293-A:2.06(d), the shareholders in amending, repealing, or adopting a bylaw expressly provide that the board of directors may not amend, repeal, or reinstate that bylaw.
