I. If the proposed action of the limited liability company creating dissenters’ rights under N.H. Rev. Stat. § 304-C:161 is submitted to a vote at a meeting of the members, the meeting notice must state that members are or may be entitled to assert dissenters’ rights under this subdivision and be accompanied by a copy of this subdivision.
II. If the limited liability company action creating dissenters’ rights under N.H. Rev. Stat. § 304-C:161 is taken without a vote of the members, the limited liability company shall notify in writing all members entitled to assert dissenters’ rights that the action was taken and send them the dissenters’ notice described in N.H. Rev. Stat. § 304-C:164.

  • state: when applied to different parts of the United States, may extend to and include the District of Columbia and the several territories, so called; and the words "United States" shall include said district and territories. See New Hampshire Revised Statutes 21:4

III. A limited liability company’s failure to give notice under this section shall not invalidate the limited liability company action.
