(a) A communication between an attorney and a client that is a foundation or a foundation official is privileged and is protected from disclosure to the same extent as a communication between an attorney and a client who is an individual acting in his or her personal capacity.
(b) The privilege is not waived by:

  • Beneficiary: A person who is entitled to receive the benefits or proceeds of a will, trust, insurance policy, retirement plan, annuity, or other contract. Source: OCC
  • Fiduciary: A trustee, executor, or administrator.

(1) A fiduciary relationship between a foundation official and a beneficiary; or
(2) The use of the foundation’s property to compensate the attorney for legal services rendered to the foundation or a foundation official.
