A person becomes a general partner:
Terms Used In New Mexico Statutes 54-2A-401
- Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
A. as provided in the partnership agreement;
B. pursuant to Paragraph (2) of Subsection C of Section 801 [54-2A-801 N.M. Stat. Ann.] of the Uniform Revised Limited Partnership Act following the dissociation of a limited partnership’s last general partner;
C. as the result of a conversion or merger pursuant to Article 11 [54-2A-1101 N.M. Stat. Ann.] of the Uniform Revised Limited Partnership Act; or
D. with the consent of all the partners.
