North Carolina General Statutes 55A-1-20. Filing requirements
(a) A document required or permitted by this Chapter to be filed by the Secretary of State must be filed under Chapter 55D of the N.C. Gen. Stat..
(b) A document submitted on behalf of a domestic or foreign corporation must be executed:
(1) By the presiding officer of its board of directors, by its president, or by another of its officers;

- Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
- Fiduciary: A trustee, executor, or administrator.
- Presiding officer: A majority-party Senator who presides over the Senate and is charged with maintaining order and decorum, recognizing Members to speak, and interpreting the Senate's rules, practices and precedents.
- state: when applied to the different parts of the United States, shall be construed to extend to and include the District of Columbia and the several territories, so called; and the words "United States" shall be construed to include the said district and territories and all dependencies. - Trustee: A person or institution holding and administering property in trust.
(2) If directors have not been selected or the corporation has not been formed, by an incorporator; or
