1.    A foreign limited partnership may apply for a certificate of authority to transact business or conduct activities in this state by delivering an application to the secretary of state for filing. The application must state:

Terms Used In North Dakota Code 45-10.2-79

  • Jurisdiction: (1) The legal authority of a court to hear and decide a case. Concurrent jurisdiction exists when two courts have simultaneous responsibility for the same case. (2) The geographic area over which the court has authority to decide cases.
  • Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
  • Partnership: includes a limited liability partnership registered under chapter 45-22. See North Dakota Code 1-01-49
  • State: when applied to the different parts of the United States, includes the District of Columbia and the territories. See North Dakota Code 1-01-49

a.    The name of the foreign limited partnership and, if the name does not comply with section 45-10.2-10, then an alternate name adopted pursuant to subsection 1 of section 45-10.2-77; b.    The name of the state or other jurisdiction under whose law the foreign limited partnership is organized; c.    The general character of the business the foreign limited partnership proposes to transact in this state; d.    The street and mailing address of the principal executive office of the foreign limited partnership; e.    The name of the registered agent as provided in chapter 10-01.1 and, if a noncommercial registered agent, the address of that noncommercial registered agent in this state; f.    The name, street address, and mailing address of each general partner of the foreign limited partnership; and

g.    Whether the foreign limited partnership is a foreign limited liability limited partnership.

2.    With the completed application, the foreign limited partnership shall deliver a certificate of existence or a record of similar import signed by the secretary of state or other official having custody of the publicly filed records of the foreign limited partnership in the state or other jurisdiction under whose law the foreign limited partnership is organized.
