(a) A person may be a partner unless the person lacks capacity apart from this chapter.
(b) Except as provided by § 152.307, a person who is not a partner in a partnership under § 152.051 is not a partner as to a third person and is not liable to a third person under this chapter.
Terms Used In Texas Business Organizations Code 152.053
- Partner: means a limited partner or general partner. See Texas Business Organizations Code 1.002
- Person: means an individual or a corporation, partnership, limited liability company, business trust, trust, association, or other organization, estate, government or governmental subdivision or agency, or other legal entity, or a protected series or registered series of a domestic limited liability company or foreign entity.
