Terms Used In Texas Business Organizations Code 21.716
- Amendment: A proposal to alter the text of a pending bill or other measure by striking out some of it, by inserting new language, or both. Before an amendment becomes part of the measure, thelegislature must agree to it.
- Close corporation: means a for-profit corporation that elects to be governed as a close corporation in accordance with Subchapter Texas Business Organizations Code 1.002
- Person: means an individual or a corporation, partnership, limited liability company, business trust, trust, association, or other organization, estate, government or governmental subdivision or agency, or other legal entity, or a protected series or registered series of a domestic limited liability company or foreign entity. - written: means an expression of words, letters, characters, numbers, symbols, figures, or other textual information that is inscribed on a tangible medium or that is stored in an electronic or other medium that is retrievable in a perceivable form. See Texas Business Organizations Code 1.002
Unless otherwise provided by a shareholders’ agreement, an amendment to the shareholders’ agreement of a close corporation may be adopted only by the written consent of each person who would be required to execute the shareholders’ agreement if it were being executed originally at the time of adoption of the amendment, regardless of whether the person has voting power in the close corporation.
