Terms Used In Texas Business Organizations Code 23.064
- Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
- Corporation: means an entity governed as a corporation under Title 2 or 7. See Texas Business Organizations Code 1.002
The shareholders and members of a corporation may:
(1) determine the number of directors and elect the directors as provided by § 23.058;
(2) make, amend, and repeal bylaws of the corporation; or
(3) exercise any other power of the corporation that is conferred on the shareholders and members by the bylaws.
