- Certificate of formation: means :
(A) the document required to be filed with the filing officer under Chapter 3 to form a filing entity; and
(B) if appropriate, a restated certificate of formation and all amendments of an original or restated certificate of formation. See Texas Business Organizations Code 1.002 - Limited liability company: means an entity governed as a limited liability company under Title 3 or 7. See Texas Business Organizations Code 1.002
In addition to the provisions authorized or required by § 3.059, a restated certificate of formation for a limited liability company may omit any prior statements regarding whether the company has or does not have managers and the names and addresses of managers or members and, at the company’s election, may insert a statement:
(1) regarding whether the company currently has or does not have managers;
(2) that the company currently has managers and the names and addresses of the persons currently serving as managers; or
(3) that the company currently does not have managers and the names and addresses of the current members of the company.
