Terms Used In Utah Code 16-6a-1012

  • board of directors: means the body authorized to manage the affairs of a domestic or foreign nonprofit corporation. See Utah Code 16-6a-102
  • Bylaws: includes :
              (6)(b)(i) amended bylaws; and
              (6)(b)(ii) restated bylaws. See Utah Code 16-6a-102
  • Quorum: The number of legislators that must be present to do business.
  • Vote: includes authorization by:
         (55)(a) written ballot; and
         (55)(b) written consent. See Utah Code 16-6a-102
     (1)(a) if adopted by the members, only by the members; or
     (1)(b) if adopted by the board of directors, by:

          (1)(b)(i) the members; or
          (1)(b)(ii) the board of directors.
(2) Bylaws adopted or amended by the members that fix a greater quorum or voting requirement for the board of directors may provide that the bylaws may be amended only by a specified vote of:

     (2)(a) the members; or
     (2)(b) the board of directors.
(3) Action by the board of directors under Subsection (1)(b) to adopt or amend bylaws that change the quorum or voting requirement for the board of directors shall meet the greater of the quorum and voting requirement for taking the action:

     (3)(a) then in effect; or
     (3)(b) proposed to be adopted.
