(1) A nonprofit corporation may provide in its bylaws for delegates having some or all of the authority of members.

  • Bylaws: includes :
              (6)(b)(i) amended bylaws; and
              (6)(b)(ii) restated bylaws. See Utah Code 16-6a-102
  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
(2) The bylaws may set forth provisions relating to:

     (2)(a) the characteristics, qualifications, rights, limitations, and obligations of delegates, including their selection and removal;
     (2)(b) calling, noticing, holding, and conducting meetings of delegates; and
     (2)(c) carrying on corporate activities during and between meetings of delegates.
