Terms Used In Utah Code 42-2-6.6
- Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
- Jurisdiction: (1) The legal authority of a court to hear and decide a case. Concurrent jurisdiction exists when two courts have simultaneous responsibility for the same case. (2) The geographic area over which the court has authority to decide cases.
- Person: means :(24)(a) an individual;(24)(b) an association;(24)(c) an institution;(24)(d) a corporation;(24)(e) a company;(24)(f) a trust;(24)(g) a limited liability company;(24)(h) a partnership;(24)(i) a political subdivision;(24)(j) a government office, department, division, bureau, or other body of government; and(24)(k) any other organization or entity. See Utah Code 68-3-12.5
- State: when applied to the different parts of the United States, includes a state, district, or territory of the United States. See Utah Code 68-3-12.5
- United States: includes each state, district, and territory of the United States of America. See Utah Code 68-3-12.5
(1)(a) may not contain:(1)(a)(i) a word or phrase that indicates or implies that the business is organized for a purpose other than a purpose contained in the business’s application; or(1)(a)(ii) for an assumed name that is changed or approved on or after May 4, 2022, the number sequence “911”;(1)(b) shall be distinguishable from any registered name or trademark of record in the offices of the Division of Corporations and Commercial Code, as defined in Subsection16-10a-401 (5), except as authorized by the Division of Corporations and Commercial Code under Subsection (2);(1)(c) without the written consent of the United States Olympic Committee, may not contain the words:(1)(c)(i) “Olympic”;(1)(c)(ii) “Olympiad”; or(1)(c)(iii) “Citius Altius Fortius”; and(1)(d) an assumed name authorized for use in this state on or after May 1, 2000, may not contain the words:(1)(d)(i) “incorporated”;(1)(d)(ii) “inc.”; or(1)(d)(iii) a variation of “incorporated” or “inc.”
(2) Notwithstanding Subsection (1)(d), an assumed name may contain a word listed in Subsection (1)(d) if the Division of Corporations and Commercial Code authorizes the use of the name by a corporation as defined in:
(2)(a) Subsection 16-6a-102 (27);
(2)(b) Subsection 16-6a-102 (36);
(2)(c) Subsection 16-10a-102 (11); or
(2)(d) Subsection 16-10a-102 (20).
(3) The Division of Corporations and Commercial Code shall authorize the use of the name applied for if:
(3)(a) the name is distinguishable from one or more of the names and trademarks that are on the division’s records; or
(3)(b) the applicant delivers to the division a certified copy of the final judgment of a court of competent jurisdiction establishing the applicant’s right to use the name applied for in this state.
(4) The assumed name, for purposes of recordation, shall be either translated into English or transliterated into letters of the English alphabet if the assumed name is not in English.
(5) The Division of Corporations and Commercial Code may not approve an application for an assumed name to a person violating this section.
(6) The director of the Division of Corporations and Commercial Code shall have the power and authority reasonably necessary to interpret and efficiently administer this section and to perform the duties imposed on the division by this section.
(7) A name that implies by a word in the name that the business is an agency of the state or a political subdivision of the state, if the business is not actually such a legally established agency, may not be approved for filing by the Division of Corporations and Commercial Code.
(8) Section 16-10a-403 applies to this chapter.

(9)(a) The requirements of Subsection (1)(d) do not apply to a person who filed a certificate of assumed and of true name with the Division of Corporations and Commercial Code on or before May 4, 1998, until December 31, 1998.
(9)(b) On or after January 1, 1999, a person who carries on, conducts, or transacts business in this state under an assumed name shall comply with the requirements of Subsection (1)(d).
