(1) An environmental covenant that complies with this chapter runs with the land.
Terms Used In Utah Code 57-25-105
- Activity and use limitations: means restrictions or obligations created under this chapter with respect to real property. See Utah Code 57-25-102
- Common law: The legal system that originated in England and is now in use in the United States. It is based on judicial decisions rather than legislative action.
- Contract: A legal written agreement that becomes binding when signed.
- Deed: The legal instrument used to transfer title in real property from one person to another.
- Environmental covenant: means a servitude arising under an environmental response project that imposes activity and use limitations. See Utah Code 57-25-102
- Holder: means the grantee of an environmental covenant as specified in Subsection
57-25-103(1) . See Utah Code 57-25-102 - Land: includes :(18)(a) land;(18)(b) a tenement;(18)(c) a hereditament;(18)(d) a water right;(18)(e) a possessory right; and(18)(f) a claim. See Utah Code 68-3-12.5
- Obligation: An order placed, contract awarded, service received, or similar transaction during a given period that will require payments during the same or a future period.
- Person: means :(24)(a) an individual;(24)(b) an association;(24)(c) an institution;(24)(d) a corporation;(24)(e) a company;(24)(f) a trust;(24)(g) a limited liability company;(24)(h) a partnership;(24)(i) a political subdivision;(24)(j) a government office, department, division, bureau, or other body of government; and(24)(k) any other organization or entity. See Utah Code 68-3-12.5
- Property: includes both real and personal property. See Utah Code 68-3-12.5
- Real property: Land, and all immovable fixtures erected on, growing on, or affixed to the land.
- real property: includes :(31)(a) land;(31)(b) a tenement;(31)(c) a hereditament;(31)(d) a water right;(31)(e) a possessory right; and(31)(f) a claim. See Utah Code 68-3-12.5
(2) An environmental covenant that is otherwise effective is valid and enforceable even if:
(2)(a) it is not appurtenant to an interest in real property;
(2)(b) it can be or has been assigned to a person other than the original holder;
(2)(c) it is not of a character that has been recognized traditionally at common law;
(2)(d) it imposes a negative burden;
(2)(e) it imposes an affirmative obligation on a person having an interest in the real property or on the holder;
(2)(f) the benefit or burden does not touch or concern real property;
(2)(g) there is no privity of estate or contract;
(2)(h) the holder dies, ceases to exist, resigns, or is replaced; or
(2)(i) the owner of an interest subject to the environmental covenant and the holder are the same person.

(3)(a) An instrument that creates restrictions or obligations with respect to real property that would qualify as activity and use limitations except for the fact that the instrument was recorded before the effective date of this chapter is not invalid or unenforceable because of any of the limitations on enforcement of interests described in Subsection (2) or because it was identified as an easement, servitude, deed restriction, or other interest.
(3)(b) This chapter does not apply in any other respect to an instrument covered under Subsection (3)(a) .
(4) This chapter does not invalidate or render unenforceable any interest, whether designated as an environmental covenant or other interest, that is otherwise enforceable under Utah law.
