(1) A “person in the position of a seller” includes as against a principal an agent who has paid or become responsible for the price of goods on behalf of his principal or anyone who otherwise holds a security interest or other right in goods similar to that of a seller.

- Person: means :(24)(a) an individual;(24)(b) an association;(24)(c) an institution;(24)(d) a corporation;(24)(e) a company;(24)(f) a trust;(24)(g) a limited liability company;(24)(h) a partnership;(24)(i) a political subdivision;(24)(j) a government office, department, division, bureau, or other body of government; and(24)(k) any other organization or entity. - Seller: means a person who sells or contracts to sell goods. See Utah Code 70A-2-103
(2) A person in the position of a seller may as provided in this chapter withhold or stop delivery (Section70A-2-705 ) and resell (Section70A-2-706 ) and recover incidental damages (Section70A-2-710 ).
