Terms Used In Vermont Statutes Title 11 Sec. 3472

  • Partner: means a limited or general partner. See
  • Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
  • Partnership agreement: means any valid agreement, written or oral, of the partners as to the affairs of a limited partnership and the conduct of its business. See
  • Venue: The geographical location in which a case is tried.

§ 3472. Judicial dissolution

On application by or for a partner the Superior Court may decree dissolution of a limited partnership whenever it is not reasonably practicable to carry on the business in conformity with the partnership agreement. Venue for such a proceeding lies in the county where the partnership’s principal office is or was located. (Added 1997, No. 149 (Adj. Sess.), § 4, eff. Jan. 1, 1999.)
