Terms Used In Alaska Statutes 10.55.201

  • Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
  • Jurisdiction: (1) The legal authority of a court to hear and decide a case. Concurrent jurisdiction exists when two courts have simultaneous responsibility for the same case. (2) The geographic area over which the court has authority to decide cases.
  • Partnership: A voluntary contract between two or more persons to pool some or all of their assets into a business, with the agreement that there will be a proportional sharing of profits and losses.
(1) one or more domestic entities may merge with one or more domestic or foreign entities into a domestic or foreign surviving entity; and
(2) two or more foreign entities may merge into a domestic entity.
(b) Except as otherwise provided in this section, by complying with the provisions of Alaska Stat. § 10.55.20110.55.206 applicable to foreign entities, a foreign entity may be a party to a merger under Alaska Stat. § 10.55.20110.55.206 or may be the surviving entity in a merger if the merger is authorized by the law of the foreign entity’s jurisdiction of organization.
(c) The provisions of Alaska Stat. § 10.55.20110.55.206 do not apply to

(1) a merger or consolidation under

(A) AS 10.06.53010.06.562 or 10.06.960 (Alaska Corporations Code); or
(B) AS 10.50.50010.50.565 (Alaska Revised Limited Liability Company Act); or
(2) a merger under

(A) AS 10.20.21610.20.280 (Alaska Nonprofit Corporation Act); or
(B) AS 32.06.90532.06.907 (Uniform Partnership Act).
