Missouri Laws 260.607 – Powers and duties of board
The corporation is hereby granted all powers necessary or appropriate to carry out and effectuate its purposes under sections 260.600 to 260.607, including but not limited to the following:
(1) To adopt bylaws and rules for the regulation of its affairs and the conduct of its business;

- Corporation: A legal entity owned by the holders of shares of stock that have been issued, and that can own, receive, and transfer property, and carry on business in its own name.
- following: when used by way of reference to any section of the statutes, mean the section next preceding or next following that in which the reference is made, unless some other section is expressly designated in the reference. See Missouri Laws 1.020
- Gift: A voluntary transfer or conveyance of property without consideration, or for less than full and adequate consideration based on fair market value.
(2) To adopt an official seal;
(3) To sue and be sued;
(4) To make and execute leases, contracts, releases, compromises and other instruments necessary or convenient to carry out its purposes;
(5) To acquire, whether by purchase, exchange or gift, real properties located within any area designated for cleanup under this act*;
(6) To convey real properties whenever the board of directors finds that it has acquired all rights, title and interests in all properties within the area designated for cleanup;
(7) To employ and pay compensation to such employees and agents, including attorneys, and others, as the board of directors shall deem necessary to further the purposes of sections 260.600 to 260.607.
