Terms Used In Missouri Laws 369.059

  • Amendment: A proposal to alter the text of a pending bill or other measure by striking out some of it, by inserting new language, or both. Before an amendment becomes part of the measure, thelegislature must agree to it.
  • Association: a savings and loan association or a savings association subject to the provisions of this chapter. See Missouri Laws 369.014
  • Capital: the capital stock and any other capital contributions in a capital stock association. See Missouri Laws 369.014
  • Director of the division of finance: the chief officer of the division of finance. See Missouri Laws 369.014
  • Mutual association: an association not having capital stock. See Missouri Laws 369.014
  • Person: any individual, corporation, entity, voting trust, business trust, partnership, association, syndicate, or organized group of persons whether incorporated or not. See Missouri Laws 369.014
  • State: when applied to any of the United States, includes the District of Columbia and the territories, and the words "United States" includes such district and territories. See Missouri Laws 1.020

Subject to the approval of the director of the division of finance, every association may amend its articles of incorporation upon the adoption of a resolution covering each amendment by the affirmative votes of a majority of the members of a mutual association or a majority of the stockholders of a capital stock association who are present in person or by proxy at any annual or special meeting of the members or stockholders. Each proposed amendment shall be filed with the director of the division of finance not less than thirty days prior to the date of such meeting. If the director of the division of finance finds that the proposed amendment is in conformity with the law, the director shall approve the amendment not less than fifteen days prior to the members’ meeting. The resolution or resolutions, certified by the president and secretary of the association under its corporate seal as one instrument shall be filed with the director of the division of finance, who shall file the documents with the secretary of state with all required fees, whereupon the secretary of state shall issue and return to the association a certificate as to such amendment or amendments.
